What does the OCR actually charge?

Every Companies Act fee comes from one Nepal Gazette notification of 2064.02.14, and it is scaled by authorised capital — not paid-up, and not your turnover. Pick what you are doing and this reads the figure straight off that scale.

The ceiling in your memorandum — not the paid-up figure.

Where these figures come from. All of them are the Nepal Gazette notification of 2064.02.14 as reproduced on the Office of the Company Registrar’s own revenue page, cross-checked against that page on 10 October 2026. Section references are the Companies Act 2063 ones OCR prints beside each row.

Two cautions. OCR’s page still carries a note that the incorporation fee was fully waived under Finance Act 2080 s.18(1) — read the wording: it says “for the current fiscal year 2080/81”. That year ended in July 2024 and the waiver was not extended, so the fee above is payable. And above NPR 10 crore the private scale reads “Rs 30 per 1 lakh”; we apply that to the amount above 10 crore on top of the NPR 43,000 band, because applying it to the whole capital would produce less than the band below it. Confirm large-capital figures with the OCR before you budget them.

Fees are the government’s charge only. Professional fees, notarisation and the newspaper notice where one is required are separate. For what is actually involved, see our guides to company registration, changing a name, increasing capital and closing a company.
