The short version:
A Pvt. Ltd. must file its auditor-certified financial statements with the OCR within six months of the end of its financial year — Companies Act 2063, Section 80(2). For FY 2082/83 that is Poush end 2083 (14 January 2027).
The same date is now the deadline for the Finance Act 2083 s.48 waiver: file FY 2082/83 and pay that year’s dues, and every earlier fine, fee and interest charge under the Companies Act is waived. The filing itself happens in CAMIS’s Annual Report wizard, and the slow part is not the wizard — it is getting the audit done and signed with a UDIN.
What CAMIS Is
CAMIS (कम्पनी प्रशासन व्यवस्थापन सूचना प्रणाली, the Company Administration Management Information System) is the OCR’s online system at camis.ocr.gov.np. Registration, post-registration changes, the annual return, fine payment and deregistration all run through it. OCR updates it in numbered releases and announces each one by notice; Release 1.4, of Jestha 4, 2083, is the one that made the UDIN mandatory.

Before You Log In: What to Have Ready
The wizard asks for figures and details you cannot make up on the spot. Gather these first, for the year you are filing:
- Audited financial statements — balance sheet and profit & loss, signed, with the auditor’s report. A company that did not trade still needs audited nil accounts.
- The auditor’s UDIN for that audit report, the auditor’s certificate of practice (COP) number, name, PAN and date of appointment.
- The next year’s auditor — CAMIS asks for the appointment for the following year as well.
- The AGM: whether it was held, its date (BS and AD), the percentage of shareholders present, and the date the accounts were approved.
- The shareholder list and capital — authorised, issued and paid-up — exactly as OCR has them.
- Each director’s answers to the Section 92 disclosures: interests in company contracts, other directorships, dealings in the company’s shares.
- The company’s PAN.
Fix the shareholder record first. If a share transfer, capital increase or director change was never recorded with the OCR, the annual return will not match what OCR holds. The wizard tells you to correct capital through the post-registration module before filing — and that is a separate application with its own approval. Find out now, not in Poush.
Step 1: Get Into the Company’s CAMIS Account
Most existing companies already have an account; the problem is usually that nobody remembers who holds it.
- You have the login: sign in at camis.ocr.gov.np/login.
- Forgotten password: use Forgot password with the verified email; the OTP goes to the registered mobile number.
- Company registered on the old system: CAMIS has a Migrate company data option that takes the old-system credentials and pulls the company’s record across.
- New account: Create Company User Account asks for a username (4–16 lowercase characters, not starting with a digit), email, a 10-digit mobile number and whether you are the company representative. A password with upper and lower case, a digit and a special character is set by OTP.
- Nobody has the login, and the email or mobile on record is gone: this is an e-Services request, and published guidance describes an in-person step at the OCR with a board minute authorising the person, the registration certificate, an application, that person’s citizenship certificate and the company stamp. We have not seen OCR’s own notice on this — its page is no longer online — so check with the help desk before you go.
Step 2: The Annual Report Wizard
The annual return is filed in a wizard CAMIS calls Annual Report (वार्षिक प्रतिवेदन). It has six steps, and an application can be saved as a draft between them:
| Step | What it asks |
|---|---|
| 1. Financial Information | Fiscal year; AGM held or not, its date and attendance; approval date; the main figures from the audited accounts — current and fixed assets, current liabilities, tax liability, bank loans, revenue, sales, gross profit, profit before and after tax, distributed profit, investment and office expenses |
| 2. Section 51 | Authorised, issued and paid-up capital; the shareholder list; debenture holders; share valuation; any bank loan or guarantee; forfeited shares; investments in other companies |
| 3. Section 92 | A disclosure for each director and promoter |
| 4. Auditor & Secretary Details | This year’s auditor (COP number, name, PAN, appointment date) with the UDIN; next year’s auditor; company secretary, if any |
| 5. Necessary Documents | The uploads (below) |
| 6. Fine Details | The fine CAMIS has calculated for the filing |
Type the figures from the signed accounts, not from a draft. The OCR reviewer compares the wizard against the uploaded statements, and a mismatch is the commonest reason an application comes back for correction.
Step 3: The Documents
The legal minimum under Section 80(2) is a copy of the annual financial statements certified by the auditor. In practice, prepare as PDFs:
- the audited balance sheet, profit & loss and notes;
- the auditor’s report, carrying the UDIN;
- the AGM minute approving the accounts and appointing the next auditor;
- the shareholder list, if it is asked for.
The exact list, and the file-size limit for each, is set by OCR on the server and shown on the upload screen itself, with a Required column — so read that screen rather than a checklist, including this one. Scan at a resolution that keeps each file small; large scans were one reason uploads failed in the rush before Ashoj end.
Why the UDIN matters. Since Release 1.4, CAMIS checks the auditor’s details against ICAN using the licence or membership number, and an annual report without a valid UDIN cannot be submitted. A UDIN is generated by the auditor for each report they sign, so it exists only once the audit is genuinely finished. There is no way to file first and audit later.
Step 4: Approval and Paying the Fine
Once you submit, an OCR officer reviews the application. CAMIS shows its status as one of:
| Status | What it means |
|---|---|
| Draft | Saved, not yet sent |
| Submitted | With the OCR for review |
| Correction Requested | Sent back with a note — edit and resubmit |
| Rejected | Refused; it can be edited and resubmitted |
| Approved | Accepted — now pay |
| Payment Verified | Done |
Payment is made from the Fine & Revenue (जरिवाना र राजस्व) section of the dashboard, through the government’s FCGO revenue gateway. There are two routes: online payment, or offline, where you choose a bank, download a voucher and pay at that bank’s counter.
Where the Section 48 waiver comes in
The fine shown is the Section 81 late-filing fine for every year outstanding. Under Section 48 of the Finance Act 2083, a company that files FY 2082/83 and pays that year’s dues by Poush end 2083 has the earlier fines, fees and interest waived. That deadline was Ashoj end 2083 until the Finance Ministry extended it by a decision of Kartik 9, 2083 (26 October 2026).
The discount is meant to appear in the fine CAMIS calculates. OCR’s own notice tells companies whose fine does not show the discount to report it through a form OCR published for the purpose, and Release 1.4 added a fine-adjustment function for OCR staff. So check the amount before you pay: if CAMIS is asking for the full backlog on a filing that qualifies, report it rather than paying it. To see what the undiscounted figure would be, use our OCR fine calculator.
As of Kartik 13, 2083, we had not found an OCR notice of the extension on ocr.gov.np — only the Finance Ministry’s decision as reported by Kantipur and others. Until CAMIS reflects it, a filing made after Ashoj end may still show the full fine. Keep a screenshot of the amount, and of the date you filed.
Step 5: The Letter
When the fine on an approved annual report is paid online, CAMIS generates the annual-return record letter (वार्षिक विवरण अभिलेखन) automatically. It appears under Signed Documents → Annual Report.
If you paid but no letter appeared, OCR’s notice gives the route: Dashboard → Fine & Revenue → Draft tab → the Annual Report application → View → Submit → I Agree. The letter is the proof a bank or a tender will ask for, so download it and keep it with the year’s accounts.
Closing the Company Instead
If the company is not worth keeping, CAMIS has a separate Discounted De-Registration module for closing under the same Section 48 waiver. It starts by requiring every outstanding annual report to be completed, then the fine, then documents — including a tax clearance certificate, the auditor’s and liquidator’s details, and the published notices. Clear any pending payment in CAMIS before you start it.
A company that never traded can also use special deregistration under Section 136A (विशेष दर्ता खारेजी), which has its own CAMIS menu and no deadline. Which route you are in depends on whether the company ever traded — our company deregistration guide sets out all four.
When CAMIS Does Not Cooperate
Expect trouble close to the deadline. In the last days before Ashoj end 2083, CAMIS and the OCR website were down for two to three days and companies could not upload or submit — which is why the Finance Ministry extended the waiver at all. Earlier, at the July 2025 cut-off for the 90% discount, OCR restricted CAMIS to payments only for a night.
- File in Mangsir, not the last week of Poush. The audit is the step that runs out of time, and the server is the step that fails.
- Problems with the system: CAMIS has a grievance and ticket function (added in Release 1.3), and the OCR help desk is on 01-5359961 and 01-5367256.
- Keep evidence: screenshots of an error, with the date and time, matter if you later have to argue that you tried to file in time.
Locked out, behind by several years, or not sure the waiver is showing? Send us the company name or registration number. We will check what OCR holds, get the accounts audited, and file on CAMIS for you.
Get help with CAMISFrequently Asked Questions
What is the deadline to file a company annual return on CAMIS?
Within six months of the end of the financial year, under Section 80(2) of the Companies Act 2063. For FY 2082/83 that is Poush end 2083 (14 January 2027), which is also the extended deadline for the Section 48 penalty waiver.
Is the Section 48 waiver applied automatically on CAMIS?
It is meant to show in the fine CAMIS calculates. OCR has published a form for companies whose fine does not show the discount, and OCR staff can adjust a fine — so check the amount before you pay, and report it instead of paying if the full backlog is being charged on a filing that qualifies.
Do I need a UDIN to file the annual return?
Yes. Since CAMIS Release 1.4 (Jestha 2083), the auditor’s UDIN and ICAN details are mandatory on the annual report and on deregistration applications. The auditor generates the UDIN when they sign the audit report.
What if nobody remembers the company’s CAMIS login?
Try Forgot password first — the OTP goes to the registered mobile. If the email or mobile on record is no longer reachable, it is an e-Services request to the OCR, which published guidance says needs a board minute, the registration certificate and the authorised person’s citizenship certificate. Confirm the current requirement with the OCR help desk.
Can I close my company through CAMIS under the waiver?
Yes. CAMIS has a Discounted De-Registration module that applies the same Section 48 waiver. It requires every outstanding annual report to be filed first, and a tax clearance certificate. A company that never traded can instead use Section 136A special deregistration.
About this guide. Written Kartik 13, 2083. The CAMIS screens, steps, statuses and payment routes are taken from the public interface of camis.ocr.gov.np, without logging in; the UDIN rule, the letter and the waiver-discount form from OCR’s notices on ocr.gov.np (Releases 1.3 and 1.4, and the notices of 2082/4/11 and 2083/3/3); the deadline from Section 80(2) of the Companies Act 2063; the extension from Kantipur, Nepal Khabar and Bajarko Chirfar’s reports of the Finance Ministry’s Kartik 9 decision; the Ashoj outage from Technology Khabar and Bajarko Chirfar. The account-recovery documents come from a secondary source and are marked as such. CAMIS changes with each release, so the upload screen is the authority on documents.
Want Us to File It on CAMIS?
We prepare the accounts with your auditor, fill the CAMIS annual report, upload the documents and see it through approval and payment — or file the discounted deregistration if closing is the better answer. FY 2082/83 is due by Poush end 2083.
