The Numbers: Is Business Registration in Nepal Growing?
The most reliable official source is the Ministry of Finance’s Economic Survey 2082/83, released in Jestha 2083 with data up to Falgun 2082 (mid-March 2026). Comparing the same eight months — Shrawan to Falgun — year on year:

By Falgun 2082, 3,69,646 companies had been registered in Nepal in total, and 97.4% of this year’s new registrations were private limited companies. The number of registered industries reached 11,140, up about 12% in a year.
Seen “company registrations hit a 10-year low”? That line comes from the Economic Survey listing 14,130 companies for FY 2081/82 — but 14,130 is exactly what the previous year’s survey reported for just the first eight months of FY 2081/82. It isn’t a full-year total. Compare eight months with eight months and company registrations are rising, not falling.
The one clear decline is at the smallest end. Registrations of micro, cottage and small industries fell from 83,386 in FY 2077/78 to 21,029 in FY 2081/82 — about 75% — according to Department of Industry figures reported by the Kathmandu Post. Industry representatives blame poor access to finance and markets, and frequent policy changes.
Our read: the pattern is formalisation. Fewer people are registering tiny cottage units, while more are going straight to a Pvt. Ltd. company or registering a proper industry — and the government is actively pushing informal sellers into the system.
Which Businesses Are Nepalis Opening? The Growth Sectors
The OCR doesn’t publish company registrations by business type, so sector trends have to be pieced together from foreign-investment approvals, industry registrations, startup-loan selections, and regulator data. Foreign direct investment (FDI) commitments for FY 2082/83 show where the money went:

1. IT, Software & BPO — Growing Fastest
IT is the clearest boom: 727 of the 1,116 foreign-investment projects in FY 2082/83. The Nepal Association for Software and IT Services (NAS-IT) estimates Nepal’s IT exports at close to US$1 billion in 2025, with around 1,00,000 people working in the sector — an industry estimate, since Nepal Rastra Bank doesn’t track IT export income separately. Nine IT and digital sectors (software, data processing, BPO/KPO, cloud and more) are also exempt from the NPR 2 crore minimum for foreign investment.

2. Tourism: Hotels, Homestays, Travel & Trekking Agencies — Growing
Tourism drew 227 foreign-investment projects in FY 2082/83, and tourism businesses make up about 23.5% of all industries registered with the Department of Industry. Hotels were among the properties damaged in the September 2025 protests, but investment into the sector has kept coming.
How to register: register the company or firm and get a PAN first. Then:
- Travel and trekking agencies need a licence under the Tourism Act 2035 and the Travel and Trekking Agency Rules 2062, from the Department of Tourism or the provincial tourism office. The rules set minimum capital and deposit requirements — the figures quoted online vary widely, so confirm the current amounts with the tourism office before you budget.
- Hotels and resorts register as a tourism industry (at the provincial or district office if fixed capital is up to NPR 25 crore) and can seek classification from the Department of Tourism.
- Homestays are registered under the homestay operating procedure that applies in your province, typically through the local level.
- Anywhere serving food also needs a food business licence from the local level under the Food Hygiene and Quality Act 2081.
3. Agriculture & Agro-Processing — Growing, Loan-Driven
Agriculture drew the largest foreign-investment commitment by value in FY 2082/83 — over NPR 23 billion from just 18 projects — and agriculture and livestock ventures make up most of the 966 proposals selected for the FY 2082/83 startup loan. Cheap 3% credit is a strong pull for first-time farm and agro entrepreneurs.
How to register: most farms and livestock businesses start as a sole proprietorship firm with a PAN; agro-processing units register as an industry (at the provincial or district office up to NPR 25 crore fixed capital). 4. Education Consultancies — High Demand, Much Stricter Entry
Demand for study abroad remains huge: about 1.23 lakh no-objection certificates were issued for foreign study in 2025, up from about 99,000 in 2023. But the industry is crowded and under scrutiny — only 1,459 consultancies were on the Ministry of Education’s approved list for 2025/26, against an estimated 4,000 operating, and police raids on consultancies led to 69 detentions.
In Asar 2083 the cabinet approved new Educational Consultancy, Language and Preparation Classes (Operation and Management) Regulations, which raise the bar considerably:
- A security deposit of NPR 25 lakh and an annual renewal fee of NPR 25,000
- Operators need a bachelor’s degree or recognised educational consultancy training
- Owned premises or a lease of at least 3 years
- No foreign investment — existing foreign-owned consultancies have one year to become 100% Nepali-owned
- Consultancies are graded A, B or C on student outcomes, service quality, and complaints

5. Online & Social-Media Selling — Formalising Fast
Selling on Instagram, Facebook and TikTok is a popular first business, and it’s where the government is pushing hardest to formalise. The Electronic Commerce Act 2081 already requires online sellers to be registered and listed on the Department of Commerce portal. 6. Cafes & Restaurants — Steady
There’s no official count of cafes, but one of Nepal’s best-known coffee chain founders has estimated there are around 7,000. Food businesses now fall under the Food Hygiene and Quality Act 2081, which requires a food business licence before you start operating.

Why Are Registrations Rising in a Tough Year?
FY 2082/83 was not an easy year. The September 2025 Gen Z protests caused an officially assessed NPR 84.45 billion in physical damage — NPR 33.54 billion of it to the private sector — followed by an interim government and the March 2026 election. Registrations rose anyway. A few things help explain it:
- Record remittance. Inflows reached about NPR 2.36 trillion in FY 2082/83, up 37.1% on the year before — a large pool of family capital looking for somewhere to go.
- Cheap startup credit. The 3% startup loan drew twice as many applications as the year before.
- Easier foreign investment. The FDI automatic route was widened (see below), and small IT investments poured in.
- A compliance push. The e-Commerce Act and the IRD’s notice to social-media sellers are pulling informal businesses into the system.
Keep in mind that registrations measure intent, not survival — plenty of registered companies never trade. The government is now offering an amnesty to clean up the ones that stopped filing (see below).

Under section 48 of the Finance Act 2083, a company that submits its FY 2082/83 details and pays what’s due for that year by the end of Ashwin 2083 (mid-October 2026) has its older taxes, fees, fines, and interest waived — whether it continues trading or closes down. This is a one-time window; after Ashwin, the old penalties stand.
What Hasn’t Changed
- VAT thresholds — still NPR 50 lakh turnover for goods and NPR 30 lakh for services or mixed businesses, at 13%. Ignore guides that still say 20 lakh.
- Company law — the Companies Act 2063 still governs companies. A new Companies Act has been drafted, but it isn’t law yet.
- Startup tax holiday — innovation-based startups with annual turnover up to NPR 10 crore can claim a 100% income-tax exemption for five years, a provision from the Finance Act 2082.
- Corporate tax — the standard rate remains 25%.
