Fill in the details and get a print-ready Memorandum of Association for a private limited company. Free, no sign-up, nothing leaves your browser.
The Memorandum of Association (प्रबन्ध पत्र) is the document that brings your company into existence. It faces outward: it tells the Office of Company Registrar, your bank, and anyone dealing with you what the company is and what it is allowed to do. The Articles of Association, by contrast, face inward and govern how the company runs.
Under the Companies Act 2063, the MOA of a private limited company must state the company’s name and registered office, its objectives, the authorised and issued capital and how it is divided into shares, the liability of shareholders, and the details of each promoter with the shares they take.
Most founders skim the objectives and regret it. Your company may only carry on the activities its objectives cover. Adding an unrelated line of business later means amending the MOA at the OCR — a filing, a fee and a wait — and licensing authorities will check that your registered objectives match whatever licence you are applying for. Write the objectives wide enough to cover what you plausibly might do, not just what you are doing in month one.
This generator produces the MOA in the standard format and works out the share counts from your capital and face value, which removes the most common half of the second one. It does not add up the promoters’ individual subscriptions for you — check that those total the issued capital before you file. For the full registration path around it — name reservation, AOA, filing, PAN — see our Pvt. Ltd. registration guide.
If you searched moa in nepali or moa format in nepali, this is the document you are looking for. The Memorandum of Association — प्रबन्ध पत्र in Nepali — is the charter that brings a Pvt. Ltd. into existence. It is filed with the Office of the Company Registrar through CAMIS at registration, in Nepali, and the Office reads it to decide what your company is permitted to do.
Why we built this. Every founder we register needs the same document, and the version circulating online is usually a photocopied scan of someone else’s company with the names changed — wrong clause numbering, Latin digits where the Office expects Devanagari, objectives copied from a business that does something else entirely. Rather than send people a Word file, we built the generator we use ourselves. It is free, it runs entirely in your browser, and nothing you type is sent anywhere.
Companies Act 2063 s.18 fixes the contents. A private limited company’s प्रबन्ध पत्र must state:
The MOA faces outward: it tells the Office, your bank and anyone dealing with you what the company is. The Articles of Association (नियमावली) face inward and govern how the company runs — meetings, directors, share transfers. You file both, together, at registration. Amending either one later needs a special resolution and a three-column amendment sheet.
MOA stands for Memorandum of Association, which in Nepali is प्रबन्ध पत्र. It is the founding charter of a company, stating its name, registered office, objectives, capital and founding shareholders. It is filed with the Office of the Company Registrar under Companies Act 2063 section 18.
The प्रबन्ध पत्र (MOA) faces outward and defines what the company is and may do. The नियमावली (AOA) faces inward and governs how the company is run — meetings, directors, voting and share transfers. Both are filed together when you register a Pvt. Ltd.
Companies Act 2063 section 18(6) prescribes the contents and the schedule format. This generator follows that format, which is why the document opens with the दफा १८ को उपदफा (६) सँग सम्बन्धित line the Office expects.
No. The contents are set by statute and most private companies use the standard format. What repays attention is the objectives clause, because amending it later requires a special resolution, an amendment sheet and a filing fee.
Yes, by special resolution of the shareholders, filed with the Office along with a three-column amendment sheet showing the existing and the new wording side by side. Capital increases and name changes are the most common amendments.
An MOA that OCR rejects costs you weeks. We draft, check and file the whole set — MOA, AOA and the registration application — and handle PAN/VAT and the bank account after.
